Software License Agreement (EULA)
This Software Licensing Policy governs the licensing and use of software products, cloud platforms, mobile applications, APIs, Artificial Intelligence capabilities, and digital services developed or provided by APPHOX Technologies Pvt. Ltd.
This Software Licensing Policy ("License Agreement", "EULA", or "Agreement") governs the licensing and use of software products, cloud platforms, mobile applications, APIs, Artificial Intelligence capabilities, and digital services developed or provided by APPHOX Technologies Pvt. Ltd. ("APPHOX", "Company", "we", "our", or "us").
By installing, accessing, subscribing to, downloading, or using any APPHOX software or services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Scope
This Agreement applies to all APPHOX software products, including but not limited to:
- Prime360 ERP
- Cortex360 HRMS
- TailorEx360
- Equidae360
- AgroNova360
- Poultrix360
- EduCore360
- Hospital & Clinic HMS
- CRM Solutions
- FinanceCore360
- WareCore360
- FleetCore360
- DispatchCore360
- OfficeCore360
- DocuCore360
- ChainCore360
- Mobile Applications
- Cloud Applications
- APIs
- APPHOX AI
- Future APPHOX software platforms
3. License Grant
Subject to compliance with this Agreement and payment of applicable fees, APPHOX grants the customer a:
- Limited
- Non-exclusive
- Non-transferable
- Non-sublicensable
- Revocable
license to access and use the licensed software solely for the customer's internal business operations.
No ownership rights are transferred under this Agreement.
4. Ownership
All rights, title, and interest in and to the software remain exclusively with APPHOX Technologies Pvt. Ltd. or its licensors.
This includes:
- Source code
- Object code
- Software architecture
- AI models
- Algorithms
- APIs
- Databases
- Documentation
- UI/UX designs
- Logos
- Trademarks
- Product names
- Workflows
- Business logic
- Machine learning models
- Proprietary frameworks
Nothing in this Agreement transfers ownership of any intellectual property to the customer.
5. Permitted Use
Customers may use the software to:
- Manage internal business operations
- Process business data
- Configure authorized workflows
- Integrate with approved third-party systems
- Access licensed AI capabilities
- Generate reports and analytics
- Utilize APIs as permitted under the purchased subscription or license
Use must remain within the licensed scope and subscription plan.
6. License Restrictions
Unless expressly authorized in writing, customers shall not:
- Copy the software except for permitted backups.
- Modify or create derivative works.
- Reverse engineer, decompile, or disassemble the software.
- Attempt to discover source code or proprietary algorithms.
- Remove copyright notices or proprietary markings.
- Resell, lease, rent, sublicense, or distribute the software.
- Use the software to provide commercial hosting or software-as-a-service to third parties.
- Circumvent licensing, subscription, or usage controls.
- Bypass security or authentication mechanisms.
- Use automated tools to extract data beyond documented API limits.
7. Artificial Intelligence Components
Certain APPHOX products include Artificial Intelligence capabilities.
Customers acknowledge that:
- AI features are licensed as part of the applicable product or subscription.
- AI-generated outputs are intended to assist decision-making and should be independently reviewed.
- AI functionality may evolve as models improve.
- AI outputs do not transfer ownership of APPHOX AI technology, algorithms, or models.
Customers shall not attempt to reproduce, train, extract, or replicate APPHOX AI models or proprietary AI workflows.
8. User Accounts & Licensing
Software licenses may be based on one or more of the following models:
- Named Users
- Concurrent Users
- Organization License
- Branch License
- Enterprise License
- Subscription License
- API Consumption
- Device-Based Licensing
- Transaction-Based Licensing
The applicable licensing model will be defined in the commercial proposal, order form, or subscription agreement.
9. Subscription Licensing
Where software is provided as a subscription service:
- Access remains valid only during the active subscription period.
- Failure to renew may result in suspension or termination of access.
- Renewal terms shall be governed by the applicable commercial agreement.
10. Updates & Enhancements
APPHOX may provide:
- Bug fixes
- Security patches
- Performance improvements
- Feature enhancements
- Regulatory updates
- AI capability improvements
Some features may require subscription upgrades or separate licensing.
APPHOX reserves the right to modify, enhance, or discontinue specific features, provided such changes do not materially diminish the core functionality of the licensed product during the applicable subscription term.
11. Third-Party Components
APPHOX software may incorporate third-party software or open-source components.
Such components remain subject to their respective license terms.
Nothing in this Agreement modifies the rights or obligations applicable to those third-party components.
12. Customer Data
Customers retain ownership of the business data they upload or generate within APPHOX software.
APPHOX processes customer data solely to provide contracted services and in accordance with applicable agreements and the Privacy Policy.
Except as authorized by the customer or required by law, APPHOX will not disclose customer data to third parties.
13. Support & Maintenance
Support and maintenance services are governed by the applicable:
- Service Level Agreement (SLA)
- Support Plan
- Subscription Agreement
- Managed Services Agreement
- Enterprise Contract
Support availability may vary depending on the purchased service plan.
14. License Termination
APPHOX may suspend or terminate a license where:
- Subscription fees remain unpaid.
- This Agreement is materially breached.
- The software is used unlawfully.
- Intellectual property rights are violated.
- Security controls are intentionally bypassed.
- Fraudulent or abusive activities are detected.
Upon termination:
- License rights immediately cease.
- Access to software may be suspended.
- Customers must discontinue use of the software.
- Applicable data retention and export provisions will continue in accordance with the governing agreements.
15. Export Control & Compliance
Customers agree to comply with all applicable export control laws, sanctions, and regulations relating to the use, transfer, or access of APPHOX software.
The software may not be used in violation of applicable trade restrictions or export control requirements.
16. Limitation of License
This Agreement grants only the rights expressly stated herein.
No implied licenses are granted.
APPHOX reserves all rights not expressly granted.
17. Changes to this Agreement
APPHOX may update this Software Licensing Policy periodically.
Changes will become effective upon publication on the website unless otherwise stated.
Material changes affecting existing subscriptions will be communicated where required by law or contract.
18. Governing Law
This Agreement shall be governed by the laws of the Republic of India.
Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
